By accessing or using the rallymate application and services, you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and rallymate ("Company," "we," "us," or "our") governing your access to and use of the rallymate mobile application, cloud platform, connected IoT devices, and all related services (collectively, the "Service").
By creating an account, signing in, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms as well as our Privacy Policy, which is incorporated herein by reference.
2. Description of Service
rallymate is an enterprise IoT platform designed for sports and recreation facility management. The Service enables authorized users to:
- View live camera feeds and recorded video from facility cameras via secure streaming protocols.
- Control smart locks and access points at facilities.
- Manage IoT bridge devices that connect on-premise hardware to the rallymate cloud.
- Communicate with other facility members and managers through in-app messaging.
- Receive real-time status updates from connected devices via MQTT messaging.
- Provision and manage edge devices with secure certificates.
The Service comprises cloud-hosted backend services, an MQTT messaging broker, a certificate authority, SSH tunnel infrastructure, edge bridge software, and a React Native mobile application.
3. Eligibility & Account Registration
To use the Service, you must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) and have the legal capacity to enter into binding agreements.
rallymate operates on an invitation-only registration model. User accounts are created exclusively by facility administrators. You cannot self-register for an account. By having an account created on your behalf, you represent that the information provided (including your phone number) is accurate and current.
You are responsible for maintaining the security of your mobile device and for all activity that occurs under your account. You must notify your facility administrator immediately if you suspect unauthorized access to your account.
4. Authentication & SMS Consent
By using the Service, you expressly consent to receiving SMS text messages containing one-time passcodes (OTPs) at the phone number associated with your account.
rallymate uses a passwordless authentication system. Each time you sign in, a 6-digit one-time passcode will be sent to your registered phone number via SMS. This is the sole method of authentication.
- You consent to receiving automated SMS messages from rallymate or its SMS delivery provider (Twilio) for authentication purposes only.
- SMS messages will never be used for marketing, promotions, or any purpose other than verifying your identity.
- Standard messaging and data rates from your mobile carrier may apply.
- OTP codes are time-limited and will expire after a short window. You may request a new code if the previous one expires.
- If you wish to stop receiving SMS messages, you may request account deactivation from your facility administrator. Note that opting out of SMS will prevent you from accessing the Service.
5. User Roles & Permissions
Access to features within the Service is determined by your assigned role:
- Player — can view camera feeds, receive device status updates, and interact with facility devices within the scope granted by facility managers.
- Manager — has elevated permissions including the ability to manage devices, control cameras and locks, view activity logs, manage facility members, and generate provisioning codes for IoT devices.
- System Administrator — has platform-wide administrative access for managing facilities and the overall system.
You agree to use only the features and access levels appropriate to your assigned role. Attempting to circumvent role-based access controls is a violation of these Terms.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Attempt to gain unauthorized access to any part of the Service, other user accounts, IoT devices, or connected systems.
- Interfere with or disrupt the Service, servers, MQTT broker, or networks connected to the Service.
- Reverse engineer, decompile, or disassemble any part of the Service, mobile application, or edge device software.
- Use the Service to conduct surveillance in violation of applicable laws or the reasonable privacy expectations of facility occupants.
- Share, distribute, or publicly disseminate video recordings, camera feeds, or activity logs obtained through the Service without authorization from the facility manager.
- Tamper with, disable, or physically interfere with IoT devices (cameras, locks, bridges) installed at facilities.
- Use another person's account or authentication credentials.
- Attempt to intercept, modify, or forge MQTT messages, device certificates, or session tokens.
- Use the Service in any manner that could damage, overburden, or impair its infrastructure.
Violation of these acceptable use rules may result in immediate account suspension or termination at our sole discretion.
7. IoT Devices & Facility Access
IoT devices managed through the Service—including cameras, smart locks, and connectivity bridges—are owned and operated by the respective facility. rallymate provides the software platform to manage these devices but does not own or control the physical hardware.
- Access to IoT devices is granted solely through your facility membership and role assignment.
- Device provisioning (including certificate issuance and one-time code generation) may only be performed by authorized Managers or Administrators.
- You acknowledge that camera feeds and device activity at facilities may be monitored and logged for security and accountability purposes.
- Physical access to facilities is subject to the facility's own policies and is outside the scope of these Terms.
8. Video Recording & Surveillance
The Service enables video recording and live streaming from facility-installed cameras. By using these features, you acknowledge and agree to the following:
- Video surveillance at facilities is the responsibility of the facility owner/operator, who must comply with all applicable local, state, and federal laws regarding video recording and surveillance.
- Recordings may capture individuals present at the facility. The facility operator is responsible for providing appropriate notice of video surveillance to facility occupants.
- Video recordings are stored in secure cloud storage and access is restricted to authorized users based on facility membership.
- You shall not download, copy, share, or distribute video recordings except as expressly permitted by the facility operator.
- rallymate is not liable for the content of video recordings or the manner in which facility operators deploy surveillance.
9. Intellectual Property
The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the property of rallymate and is protected by applicable intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the mobile application and access the Service solely for its intended purpose and in accordance with these Terms.
- You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part thereof.
- All trademarks, service marks, and trade names associated with rallymate are our property.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information—including your phone number, session data, and IoT device data. Please review our Privacy Policy carefully.
11. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
11.1 Disclaimers
- We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
- We do not guarantee the availability or reliability of IoT device connectivity, camera streams, or lock operations, as these depend on local network conditions, hardware, and internet connectivity.
- We are not responsible for actions taken by facility operators, managers, or other users of the Service.
- We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
11.2 Limitation of Liability
To the fullest extent permitted by applicable law, rallymate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
- Loss of data, revenue, or business opportunities.
- Unauthorized access to or alteration of your data or transmissions.
- Security breaches at facilities, device malfunctions, or connectivity failures.
- Any conduct or content of third parties, facility operators, or other users.
Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to rallymate in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
12. Termination
- By you — you may stop using the Service at any time. Contact your facility administrator to request account deactivation.
- By facility administrators — managers and administrators may remove your membership and deactivate your access to their facility at any time.
- By rallymate — we may suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 8, 9, 11, and 14) shall survive.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and may provide notice through the application. Your continued use of the Service after modified Terms take effect constitutes your acceptance of the changes.
We encourage you to review these Terms periodically.
14. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative proceeding.
